These Terms of Service (“Terms”) govern your access to and use of the OwnRyde mobile application, website, and related services (collectively, the “Platform”), operated by OwnRyde, Inc. (“OwnRyde,” “we,” “us,” or “our”).

By creating an account or using the Platform, you (“User,” “Rider,” or “Driver”) agree to be legally bound by these Terms.

OwnRyde operates a technology platform that connects riders with independent transportation providers.

1. About OwnRyde

OwnRyde provides a software platform that allows Riders to connect with independent Drivers who offer transportation services.

OwnRyde does not:

• Provide transportation services
• Employ drivers
• Own, lease, or operate vehicles
• Control or supervise Drivers
• Guarantee ride availability
• Guarantee ride acceptance
• Guarantee response times
• Guarantee ride quality or outcomes

Transportation services are independently provided by Drivers.

Drivers operate independently and are solely responsible for their transportation services, vehicles, conduct, insurance, licenses, permits, and compliance with applicable laws.

2. Eligibility

To use the Platform, Users must:

• Be at least 18 years old to create a Rider account
• Be at least 21 years old to create a Driver account
• Provide accurate and truthful information
• Complete required verification processes
• Maintain a valid payment method (Riders)
• Maintain required licenses, insurance, and permits (Drivers)

OwnRyde reserves the right to approve, deny, suspend, restrict, or terminate accounts at its sole discretion for lawful reasons including safety concerns, fraud prevention, policy violations, or incomplete documentation.

3. Nature of the Platform

OwnRyde is a technology platform.

The Platform facilitates:

• Rider and Driver account creation
• Ride request and dispatch systems
• Driver matching
• Fare estimates
• Payment processing
• Communication tools
• Navigation and location-based services

OwnRyde may use platform-generated pricing systems, suggested pricing structures, dispatch prioritization systems, estimated fare calculations, availability-based pricing adjustments, and other marketplace tools to improve rider experience and marketplace consistency.

Drivers may have access to suggested pricing systems or custom pricing features where available.

Ride requests may be prioritized based on multiple factors including pricing structure, driver availability, rider location, estimated arrival time, acceptance rates, platform activity, safety considerations, or operational efficiency.

OwnRyde does not guarantee that any Driver will receive ride requests or earnings opportunities.

4. User Accounts

Users agree to:

• Maintain accurate account information
• Keep login credentials secure
• Not share accounts
• Not create fraudulent or duplicate accounts
• Immediately report unauthorized access

OwnRyde may suspend or terminate accounts suspected of fraud, abuse, unauthorized access, or policy violations.

5. Rider Responsibilities

Riders agree to:

• Treat Drivers respectfully
• Follow applicable laws
• Provide accurate pickup and destination information
• Avoid unsafe or unlawful conduct
• Not transport prohibited or illegal items
• Pay applicable ride charges, tolls, cancellation fees, and adjustments
• Maintain valid payment information
• Avoid damaging vehicles

Fare estimates provided through the Platform are estimates only and may change based on route adjustments, tolls, waiting time, destination changes, traffic conditions, availability, or other operational factors.

Final pricing will be displayed before ride confirmation whenever applicable.

6. Driver Responsibilities

Drivers agree to:

• Maintain all legally required licenses, permits, and insurance
• Maintain vehicles in safe operating condition
• Operate lawfully and professionally
• Complete required verification and background check processes
• Maintain accurate documentation
• Follow applicable laws and regulations
• Report accidents, incidents, or safety concerns when required

Drivers are independent contractors and are solely responsible for their transportation activities and legal compliance.

Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between OwnRyde and Drivers.

7. Payments & Platform Fees

Riders authorize OwnRyde and its payment processors to charge payment methods for:

• Ride fares
• Booking or platform fees
• Tolls
• Cancellation fees
• Adjustments
• Other applicable charges

Drivers authorize OwnRyde and its payment processors to process payouts and applicable fees through third-party payment providers including Stripe Connect or similar services.

Tips are intended for Drivers.

OwnRyde does not store full payment card information.

8. Background Checks & Verification

Drivers may be required to complete identity verification, document verification, background screening, driving record checks, insurance verification, or additional compliance reviews through third-party providers.

OwnRyde reserves the right to deny or revoke Driver access based on verification results or safety concerns.

Completion of background checks does not guarantee safety, suitability, or future conduct.

9. Prohibited Activities

Users may not:

• Violate laws or regulations
• Commit fraud or deceptive activity
• Harass, threaten, or abuse other Users
• Interfere with Platform functionality
• Circumvent the Platform for unauthorized transactions
• Provide false information
• Use the Platform for unlawful activity
• Attempt unauthorized access to systems or accounts

Violations may result in immediate suspension or permanent removal.

10. Safety & Incidents

OwnRyde may provide safety tools, location-sharing features, emergency assistance integrations, verification systems, and incident reporting tools.

However, OwnRyde cannot guarantee the safety, conduct, actions, identity, quality, or behavior of any User.

Users are responsible for exercising personal judgment and caution while using the Platform.

11. Insurance

Drivers are solely responsible for maintaining all legally required insurance coverage.

OwnRyde does not provide insurance coverage for Drivers, Riders, vehicles, property, or third parties unless explicitly stated otherwise in writing.

12. Disclaimers

The Platform is provided on an “as is” and “as available” basis.

OwnRyde makes no warranties, express or implied, regarding:

• Availability
• Reliability
• Ride quality
• Safety
• Driver conduct
• Rider conduct
• Earnings
• Platform uptime
• Matching success
• Transportation outcomes

Use of the Platform is at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law, OwnRyde shall not be liable for:

• Personal injury
• Death
• Property damage
• Vehicle damage
• Lost profits or income
• Business interruption
• Emotional distress
• Criminal acts
• Transportation incidents
• Insurance disputes
• User conduct
• Indirect or consequential damages

Users assume all risks associated with transportation services arranged through the Platform.

14. Indemnification

Users agree to indemnify and hold harmless OwnRyde, its officers, directors, affiliates, employees, contractors, and partners from claims, damages, liabilities, expenses, or legal costs arising from:

• Use of the Platform
• Transportation activities
• Violations of these Terms
• Violations of law
• User conduct
• Disputes between Users

15. Account Suspension & Termination

OwnRyde may suspend, restrict, or terminate accounts for:

• Safety concerns
• Fraud
• Policy violations
• Insurance lapses
• Failed verification
• Unlawful activity
• Harassment
• False information
• Risk management purposes

Users may stop using the Platform at any time.

16. Privacy

Use of the Platform is subject to the OwnRyde Privacy Policy.

17. Arbitration Agreement

Any dispute arising from these Terms or use of the Platform shall be resolved through binding arbitration in the State of Oregon, unless prohibited by applicable law.

Class actions and collective proceedings are waived to the fullest extent permitted by law.

18. Changes to These Terms

OwnRyde may update these Terms at any time.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.
