This Rider Agreement (“Agreement”) describes the terms under which you access and use the OwnRyde technology platform as a Rider (“Rider,” “you,” or “your”).

This Agreement is between you and OwnRyde, Inc. (“OwnRyde,” “we,” “us,” or “our”).

By creating an account or using the Platform, you agree to this Agreement.

OwnRyde operates a technology platform that connects Riders with independent Drivers. OwnRyde does not provide transportation services and does not employ Drivers.

1. Nature of the Platform

OwnRyde provides access to a technology platform that facilitates:

• Rider and Driver account access
• Ride request systems
• Driver matching
• Estimated fare calculations
• Navigation and mapping tools
• Payment processing
• Communication features
• Safety and verification tools

OwnRyde does not:

• Provide transportation services
• Employ Drivers
• Own or operate vehicles
• Control Driver conduct
• Guarantee ride availability
• Guarantee ride acceptance
• Guarantee arrival times
• Guarantee ride quality or outcomes

Transportation services are independently provided by Drivers.

2. Rider Eligibility

To use the Platform, Riders must:

• Be at least 18 years old
• Provide accurate account information
• Maintain a valid payment method
• Complete required verification steps where applicable
• Comply with this Agreement and applicable laws

OwnRyde reserves the right to suspend, restrict, or terminate Rider access for safety concerns, fraud, policy violations, or other lawful reasons.

3. Rider Accounts

Riders agree to:

• Maintain accurate account information
• Keep login credentials secure
• Not share accounts
• Not create duplicate or fraudulent accounts
• Promptly report unauthorized account access

OwnRyde may suspend or terminate accounts suspected of fraud, abuse, unauthorized activity, or policy violations.

4. Ride Requests & Matching

The Platform allows Riders to request transportation services from independent Drivers.

Ride requests may be matched using factors including:

• Driver availability
• Rider location
• Estimated arrival time
• Vehicle category
• Platform pricing systems
• Marketplace efficiency
• Operational and safety considerations

OwnRyde does not guarantee that a Driver will accept any ride request.

5. Pricing & Fare Estimates

OwnRyde may use estimated fare systems, suggested pricing structures, platform pricing tools, dispatch systems, and marketplace balancing mechanisms to improve rider experience and operational efficiency.

Fare estimates may vary based on:

• Distance
• Time
• Traffic conditions
• Driver availability
• Route changes
• Waiting time
• Tolls
• Pickup or destination modifications
• Marketplace conditions

Final pricing will be displayed before ride confirmation whenever applicable.

Tolls and additional charges may apply depending on route and trip conditions.

6. Payments

By using the Platform, Riders authorize OwnRyde and its payment providers to process charges for:

• Ride fares
• Platform or booking fees
• Tolls
• Cancellation fees
• Damage charges where applicable
• Adjustments related to ride activity

Payments are processed through third-party providers such as Stripe or similar payment processors.

OwnRyde does not store full payment card information.

7. Rider Responsibilities

Riders agree to:

• Treat Drivers respectfully
• Follow applicable laws
• Provide accurate pickup and destination information
• Avoid unsafe or unlawful conduct
• Not damage vehicles
• Not transport prohibited or illegal items
• Wear seatbelts where required by law
• Avoid harassment, discrimination, threats, or abusive behavior

Riders are responsible for their conduct during transportation services.

8. Safety & Conduct

OwnRyde may provide:

• Safety features
• Emergency assistance integrations
• Ride tracking
• Incident reporting tools
• Verification systems
• Communication tools

However, OwnRyde cannot guarantee:

• Driver conduct
• Rider conduct
• Safety outcomes
• Ride quality
• Transportation outcomes

Riders should exercise personal judgment and caution when using the Platform.

9. Driver Independence

Riders acknowledge that Drivers:

• Operate independently
• Are not employees of OwnRyde
• Control their own transportation activities
• Are responsible for their own vehicles, insurance, permits, and compliance obligations

Nothing in this Agreement creates an employment or agency relationship between OwnRyde and Drivers.

10. Cancellations & Adjustments

Ride requests may be subject to:

• Cancellation fees
• Waiting time adjustments
• Route-based pricing adjustments
• Toll adjustments
• Operational or marketplace-related adjustments

Charges may vary based on actual trip activity.

11. Prohibited Conduct

Riders may not:

• Violate laws or regulations
• Harass or threaten Drivers
• Commit fraud or chargeback abuse
• Damage vehicles
• Use the Platform for unlawful purposes
• Interfere with Platform functionality
• Provide false information

Violations may result in suspension or permanent removal from the Platform.

12. Limitation of Liability

To the fullest extent permitted by law, OwnRyde shall not be liable for:

• Personal injury
• Death
• Property damage
• Vehicle damage
• Lost property
• Transportation incidents
• Criminal acts
• Driver conduct
• Delays or ride availability
• Indirect or consequential damages

Use of the Platform and transportation services is at your own risk.

13. Indemnification

Riders agree to indemnify and hold harmless OwnRyde, its officers, directors, employees, affiliates, and partners from claims, damages, liabilities, expenses, or legal costs arising from:

• Rider conduct
• Violations of law
• Violations of this Agreement
• Disputes with Drivers or third parties
• Damage caused during transportation services

14. Arbitration Agreement

Any dispute arising from this Agreement or use of the Platform shall be resolved through binding arbitration in the State of Oregon unless otherwise required by law.

Class actions and collective proceedings are waived to the fullest extent permitted by law.

15. Modifications

OwnRyde may modify this Agreement at any time.

Continued use of the Platform after updates constitutes acceptance of revised terms.
